Partnership Overview
These Terms govern your participation as a Cloud Partner on the CLO2π platform, operated by Ceigoz Global Dynamics Private Limited ("Ceigoz", "we", "us"). By completing onboarding and receiving approval, you agree to be bound by these Terms.
Contract Period & Renewal
Your partnership agreement is valid for a period of 2 years from the date of approval. Renewal is not automatic — it must be reviewed and confirmed by both parties at the end of each 2-year term. Ceigoz will contact you ahead of your renewal date to complete this process.
Commission Structure
- Tuition fee commission: 60% for students 1-9 referred per calendar year, 80% for the 10th student onward in that same year.
- Additional services: 50% commission on loan-related services, 50% commission on accommodation-related services.
- Commission is calculated on the base rate Ceigoz receives from the university (currently 8% or 10%, depending on the university/course).
- Commission is payable only after a student's enrollment is confirmed via the university's official census/enrollment check.
- If an enrolled student withdraws from their course, commission for that student will not be paid, or will be reversed if already paid.
Partner Obligations
- Provide accurate, truthful information about yourself and any student you refer.
- Collect and submit required documentation (identity proof, bank account details, and any other information reasonably requested) during onboarding.
- Maintain confidentiality of student and university information shared with you.
- Not misrepresent your affiliation with Ceigoz or CLO2π to students or third parties.
Fraud, Violations & Account Security
If Ceigoz identifies suspected fraudulent activity, false information, or a violation of these Terms:
- Your dashboard access may be locked immediately.
- You will have 30 days from the date of lock to contact Ceigoz, provide an explanation, and go through the clarification process.
- If the matter is not resolved within this period, or if fraud is confirmed, your account may be permanently banned from CLO2π, and any pending commission may be withheld or forfeited.
- Ceigoz reserves the right to take further legal action in cases of confirmed fraud.
Payment Terms
- Commission is paid to the bank account details provided and verified during onboarding.
- Google Pay, PayPal, or similar third-party payment apps are not accepted for commission payouts — a valid bank account is required.
- Payment timelines will be communicated separately and may vary based on university payment cycles.
Termination
- Either party may terminate this agreement with written notice, subject to any commission already earned and confirmed prior to termination being honored.
- Ceigoz may terminate immediately, without notice, in cases of confirmed fraud or serious breach of these Terms.
Confidentiality
Any non-public information shared with you as part of this partnership — including student data, university agreements, and commission structures — must be kept confidential and not disclosed to third parties.
Limitation of Liability
Ceigoz is not liable for indirect, incidental, or consequential damages arising from your participation as a partner, to the extent permitted by applicable law.
Changes to These Terms
Ceigoz may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of India.
